- scale and complex infrastructure projects. Critically, our advice is independent and draws on deep sector experience within our local, regional and global teams.

Our professionals are drawn from finance, engineering, project and management, and consulting backgrounds.

**Responsibilities**

We are seeking professional with experience in developing, structuring, procuring and financing infrastructure projects either for government or private sector clients.
- Participate as a team member on infrastructure advisory engagements.
- Assist and advise clients on innovative delivery models, financing, procurement methodology, project risk management and other aspects relating to complex infrastructure projects.
- Develop financial model and projection.
- Prepare internal and external reports to clients.
- Prepare proposals proposed to target clients
- Develop external and internal business networks; and
- Contribute to the overall leadership, strategy, and management of the team.

**Qualifications**
- Bachelors or Masters' degree in business, finance, economics, engineering, or
- similar.
- More than 2 years of work experience in developing and delivering projects, providing commercial and contract advice, financing, project reviews and risk management services, and financial modelling for infrastructure projects.
- Strong interest in large complex projects, Public Private Partnerships (PPP), infrastructure, government, construction and engineering is a plus;
- A team player with high levels of enthusiasm.
- Excellent interpersonal skills, with the ability to communicate at all levels with internal and external contacts.
- Displays strong integrity and professionalism.
- Strong analytical, financial, contractual and commercial skills.
- Good written and verbal presentation and communication skills in English and Thai.

The Transaction Services team is part of Deal Advisory team of KPMG Thailand. Along with Corporate Finance, M&A, Restructuring and Deal Strategy teams, the group brings a multi-faceted approach to companies seeking mergers and acquisitions or divestment of operations. The TS team focuses on due diligence assistance to support clients making acquisitions, disposals, public bids/mergers, joint ventures, buy-outs, market entry, financing and other transactions and can help clients maximize their transaction opportunities throughout the deal and throughout the economic cycle.

**Responsibilities**
- Work as part of a multi-disciplinary team to lead/manage/participate in buy-side and sell-side transaction advisory engagements, providing financial due diligence, divestiture support and post deal assistance to major corporate, MNC and private equity clients.
- Analyse Target company data to identify historical financial trends, quality of earnings and working capital considerations and potential liabilities and risks which may impact valuation of the target company.
- Create and design tailored transaction advisory reports specific to key issues such as normalized earnings, valuation model input assumptions, achievability of management's budget, and indebtedness considerations
- Help our clients to understand the key drivers of the target company's business, key risks and potential value upside, and help them to make an informed investment decision
- Understand the key drivers of a business's success or failure, including products, markets, channels, and cost base
- Execute projects including performing fieldwork, interfacing with senior executives of clients and target companies, drafting high quality reports to clients etc.
- Coordinate with clients, targets and other advisors on due diligence activities including the review of transaction documentation
- Perform client and industry research and prepare materials to support our pitches and proposals to clients.
- Demonstrate an awareness and understanding of risk management practices and processes.

**Qualifications**
- Experience of working in Transaction Services on Financial Due Diligence and/or Audit & Assurance with global accounting firms
- 1-3 years required for Junior - Senior Associate
- 4-6 years required for Assistant Manager
- 6 years up required for Manager
- Solid understanding of M&A processes
- Proficiency in spoken and written English and Thai.
- Strong communication and presentation capability
- Ability to thrive in an international environment

**RESPONSIBILITIES:**
+ Conducting a valuation assignment for all kinds of real estate including land, factory, office building, retail space etc.
+ Conducting a valuation analysis for real estate starting from site inspection, market field survey to value assessment and report preparation.
+ Make thorough inspections and investigations of a property and consider factors such as location and business in their valuations.
+ Coordinates team on real estate properties to accurately estimate the market value for financing purposes.
+ Visit sites to decipher areas, conditions and determine the local laws and regulations governing the area.
+ Conduct property valuations and create quality detailed reports, ensuring that proper timelines are followed.

**QUALIFICATIONS:**
+ Bachelor's degree in economics or finance.
+ New graduates are welcome.

**Responsibilities**
- Work on various tax advisory projects, including:

- M&A tax due diligence and structuring projects
- Business combination and business reorganization
- Tax controversy support
- Tax health check
- Tax planning for both corporate and individual clients
- Tax advice on domestic and cross-border transactions
- Assist the working team in preparation role for each project from toe to top, including researching tax laws and tax references, preparing engagement letters, preparing tax analyses and reports, attending meetings with clients and finalising tax reports with a guide from seniors and managers.

**Qualifications**:

- Bachelor’s degree in Accounting, Law, or Economics (a post-graduate degree or CPA is a plus)

- A small period of experience training or working in the tax department of an international accounting or law firm, or equivalent experience in the financial services industry is a plus
- Good in both written and spoken English
