Summary of the Role
Legal & Compliance Manager is acting as a Head of Legal and Compliance for Terumo in Thailand and actively collaborate with APAC Legal and Compliance function for regional projects. The Associate is responsible for advising and giving advice on all Legal & Compliance matters pertaining to Terumo's business in Thailand. The Associate will actively partner with the management in Thailand to drive a culture of values, ethics, and compliance in alignment with Terumo Core Values, Terumo Group Code of Conduct, and other global and regional policies of Terumo. This position shall review, monitor, and advise the business in making sure the existing and new business models, promotional activities, and interactions with healthcare professionals and government officers comply with applicable laws and regulations, and confirms global best practices for the sustainable growth of business.
Key Functions / Responsibilities
Compliance Work
- Be an expert (/ develop expertise) for applicable anti-bribery and anti-trust laws such as FCPA, UKBA, Penal Code of Thailand, Trade Competition Act of Thailand, Public Procurement Regulations, and compliance best practices for addressing bribery and anti-competitive conduct risks emanating from bidding in public procurement tenders, bidding and contracting with Govt. customers, healthcare organizations, and healthcare professionals.
- Stay updated with applicable laws, rules, regulations, regional and local medical device code of practice, global best practices, and latest enforcement actions from regulators and authorities related to Medical Devices and Pharmaceuticals Industry to benchmark current operations of Terumo to identify gaps (if any) and advising on actions and updates to fulfil such gaps.
- Stay abreast of the Medical Technology industry, actively represent Terumo and participate in regional and local industry forums such as APACMed, Thaimed etc. and stay updated with latest risks, trends, and compliance best practices in Thailand as well as in the APAC region.
- Conducting periodical risk assessment to identify, review and evaluate material compliance risks to the company and timely updating Management Team, Regional and Head Office of Legal & Compliance Department including through Quarterly Report on Compliance matters.
- Collaborate with APAC L&C function to cascade, implement and adopt global and regional policies on compliances matters in Thailand and as necessary develop local guidance, procedures, and SOPs including guiding, advising and coaching business associates to raise their knowledge on following and complying with such policies, procedures and SOPs.
- Plan, develop and conduct annual compliance training to all associates on any existing and new policies, standards, procedures and SOPs.
- Review, monitor, assess compliance risks (including conducting necessary due diligence), and liaise with regional L&C function for implementing control measures to address risks emanating from third parties such as distributors, sub-distributors, resellers, sales agent, channel partners, and high-risk vendors and service providers.
- Reviewing and engaging with business teams early for advising on planning, structuring, and implementing promotional and education activities with healthcare organizations and healthcare professionals. Be responsible to review, advise and approve / reject proposals on Charitable Donations, Educational or Research Grants to 3rd parties, and Terumo's own education and promotional events involving engagement and interactions with healthcare professionals.
- Review promotional materials and assign CAS Approval in the online system.
- Coordinating, consulting and effectively explaining the current business model, requirements, and constraint of Thailand Market to Regional and Head Office for liaising and collaborating to find appropriate solutions including adapting to existing or new business models to ensure compliance with applicable Thai laws, regulations and global best practices.
- Plan and develop Annual Compliance Action Plan (in collaboration and alignment with APAC L&C function) and be responsible in implementing such plan in Thailand each year.
- Promote speak up culture and be available to listen compliance concerns of associates in Thailand and keep updated the local and regional stakeholders about evolution of the culture of compliance and ethics.
- Liaise and collaborate with APAC L&C function in handling and investigating helpline/ whistle-blower reports and provide support in implementing and tracking corrective measures.
- Be available to advise and support on external risk factors such as enquiries / investigations from enforcement authorities, regulators, litigations and matters posing business continuity risks.
- Develop knowledge on data protection and privacy management and participate and support regional Data Protection and Privacy Program.
Regional Collaboration and Participation:
- Be open to support the APAC L&C function and support in selective regional projects in above listed areas.
- Be ready to support and coach Compliance Ambassadors of other selective Terumo entities in APAC region by advising in management and resolution of legal and compliance matters of such other her Terumo entities in APAC.
Key Performance Indicators
- Provide timely updates and alerts to management and other stakeholders on evolving industry policies, compliance risks and current enforcement and regulatory environment.
- Handling consulting requests from business and timely approvals on commercial and educational engagement with healthcare professionals and healthcare organizations.
- Conducting necessary trainings as per the Annual Compliance Action Plan.
- Handling of all assigned helpline whistle-blower matters and coordinating implementation of corrective actions (if any)
- Provide timely response to all associates for any consultancy request and/or questions, related Compliance Policies
Contract management and Legal Advisory
- Periodically attend legal seminars to keep updated of legal information and legal knowledge on any new laws and regulations, related to the business of Terumo in Thailand.
- Reporting or informing of legal updates to the Management for further development of any change to the way of working (if required).
- Providing legal advice to all associates and assigning external counsel services with the agreed capped fee if any external professional advice or confirmation is necessary.
- Assisting associates to meet with authorities and regulators for explanation and negotiation
- Drafting and amending template of Agreements, such as Equipment Placement Agreement, Supply and Services Agreement, Device Installation or Device Calibration Agreements, Technician Services Agreement, Non-Disclosure Agreements etc.
- Drafting and reviewing any letters to or communications with the authorities and customers, as per request from associates.
- Drafting, reviewing and negotiating agreement with 3rd Parties such as business partners, suppliers, distributors, resellers, sales agents, channel partners and other vendors while aligning with the APAC L&C function and policy.
- Introducing and maintaining the agreement management system locally.
Key Performance Indicators
- Drafting templates of agreements for major purchase, supply, service and business partnership arrangements.
- Provide timely response when there is any request on legal advice
- Provide timely response on the request of drafting or reviewing any agreements, letters and other documents.
Functional / Technical Skills
- Advanced legal knowledge on business laws (focus on anti-bribery, anti-corruption, and anti-trust laws such as FCPA, UKBA, Penal Code of Thailand, Trade Competition Act of Thailand) with ability to provide solid and applicable legal advice as a business partner
- Superior networking and liaising skills with a quest to stay updated with current trends and MedTech Industry affairs.

Education & Experience

- ประสานงานกับหน่วยงานภาครัฐหรือหน่วยงานกำกับดูแลที่เกี่ยวข้อง เพื่อกำกับการปฏิบัติงานให้ถูกต้อง รวมถึงควบคุมดูแลให้มีการนำส่งรายงานตามกฎเกณฑ์แก่หน่วยงานกำกับดูแลของภาครัฐภายในกรอบระยะเวลาที่กำหนด
- ตรวจสอบและติดตามการปฏิบัติตาม Risk Management ในส่วนที่เกี่ยวข้องกับส่วนงานกำกับดูแล รวมถึงจัดให้มีมาตรการจัดการความเสี่ยงหรือลดความเสี่ยงที่เหมาะสมและมีประสิทธิภาพ โดยเฉพาะในด้าน Compliance Risk หรือ Fraud Risk เป็นต้น
- ประสานและติดตามประเด็นหรือ Issue ต่างๆ ที่เกี่ยวข้องจากหน่วยงานตรวจสอบทั้งภายในและภายนอก และดำเนินการเพื่อให้มีมาตรการแก้ไขที่เหมาะสม
- ให้การสนับสนุนผู้บังคับบัญชาในงานด้านกำกับดูแล และปฏิบัติงานอื่นๆ ตามที่ได้รับมอบหมาย
คุณสมบัติ
- ปริญญาตรี หรือ สูงกว่า สาขานิติศาสตร์ (กฎหมาย) เศรษฐศาสตร์ บริหารธุรกิจ หรือ สาขาวิชาอื่นที่เกี่ยวข้อง
- ประสบการณ์ 6-8 ปี ในงานด้าน Compliance
- มีความเชี่ยวชาญ โดยเฉพาะในด้าน Compliance Risk หรือ Fraud Risk
- มีความเชี่ยวชาญ และมีความเข้าใจในกฎหมายและระเบียบข้อบังคับที่เกี่ยวข้องกับ หรืองานบริหารความเสี่ยง หรืองานด้านตรวจสอบภายใน
- มีทักษะในการวิเคราะห์และการสื่อสารที่ดี
- สามารถทำงานภายใต้ความกดดันได้ดี และสามารถทำงานเป็นทีมได้

As an experienced professional with relevant in-house and law firm experience, you will support our business in the region with all legal and compliance matters. The role is a new position and we are looking for a highly motivated, proactive individual to integrate compliance and legal function into our Regional Finance Team.
The role is based in our Bangkok office. Still, you will be supporting our regional organisation with companies in Hong Kong, Singapore, Thailand, Vietnam and China, and business partnerships in Indonesia, the Philippines, UAE.
Principal responsibilities:
- Draft, review and revise legal documents - principally service agreements with providers, customers and distribution intermediaries
- Create standard documents for the use by other departments – such as consent forms and agreements
- Monitor changes in regulations across the region, particularly insurance and data protection regulations
- Research and advise on any insurance regulations applicable to April Asia
- Help the Legal & Compliance function maintain internal policies in accordance with the Group guidelines and local legislative requirements
- Liaise with company secretaries on preparation and submission of statutory documents, board resolutions, AGM/EGM and other governance matters
- Liaise with the Group for any requested information of April Asia such as corporate matters or partnership with insurance companies
- Participate in any internal/external audit as required by April Asia, the Group, as well as partners
- Support other departments day-to-day inquiries where relevant
- Other legal and compliance topics to be assigned by the Legal & Compliance Manager or the Group Legal from time to time
Qualifications & Experience:
- Bachelor degree or higher in law
- Minimum of 1 year of experience in a law firm or corporate legal environment
- Good command of written and spoken English
- Commercially minded and pragmatic
- Experience in working in an international environment and comfortable dealing with multiple jurisdictions is a plus – otherwise being adjust to the international environment is a must.
- Not expected to have a detailed knowledge of all regulations and legal systems in the regional scope but must be willing to research and consult outside sources where necessary. Local knowledge of the country where your degree is obtained is required.
- Be able to multi-task, focus on details, and deliver under pressure
- Knowledge of insurance regulation is desirable but not essential
